Dealer and Wholesale Terms

These Dealer and Wholesale Terms (“Dealer Terms”) govern the relationship between AR Tactical California Inc. (“AR-TAC”, “we”, “us”, or “our”) and approved dealers, distributors, retailers, and wholesale partners (“Dealer”, “you”, or “your”).

By submitting a dealer application and/or placing wholesale orders, you agree to be bound by these Dealer Terms, our Terms of Service, and all other applicable policies.

1. Dealer Approval

All dealer applications are subject to review and approval by AR-TAC.
Approval is at our sole discretion and may be based on business legitimacy, sales volume potential, credit history, and compliance with applicable laws.
We reserve the right to reject any application or terminate any dealer account without explanation.
Approved dealers will receive login credentials for wholesale pricing and dedicated support.

2. Wholesale Pricing and Discounts

Approved dealers receive access to tiered wholesale pricing.
Volume discounts and special pricing are available based on order quantity and annual purchase volume.
All wholesale prices are confidential and may not be publicly displayed or shared without our prior written consent.
We reserve the right to modify wholesale pricing with reasonable notice.

3. Ordering and Payment

All wholesale orders must be placed through your authorized dealer account.
Payment terms are prepaid unless credit terms have been explicitly approved in writing.
Approved credit accounts must adhere to agreed payment terms. Late payments may result in suspension of account and future orders.
Minimum order quantities may apply for certain products or custom orders.

4. Production and Lead Times

In-stock items: Usually ship same day or next business day from our Montclair, CA warehouse.
Custom / OEM Orders: Lead time will be quoted case-by-case (typically 15–45 days depending on complexity and quantity).
For large bulk orders, we will confirm production location (United States or our owned Asian facilities) and transportation method (air freight or sea freight) before final confirmation.

5. Shipping and Logistics

Standard shipping terms are outlined in our Shipping Policy.
For bulk orders, shipping method, cost, and Incoterms will be mutually agreed upon prior to production.
Drop shipping support is available for approved dealers. Additional handling fees may apply.

6. Returns and Refunds

Standard (non-custom) products may be returned within 30 days under our standard Return Policy.
Customized products are generally non-returnable and non-refundable except in cases of manufacturing defects.
Frequent or unreasonable returns may result in dealer account review or termination.

7. Intellectual Property and Branding

All product designs, trademarks, logos, and marketing materials provided by AR-TAC remain our exclusive property.
Dealers may not modify, copy, or use our branding without prior written approval.
Any co-branded materials must be approved by AR-TAC before use.

8. Compliance and Legal Obligations

You agree to comply with all federal, state, and local laws regarding the sale, distribution, and export of tactical equipment.
You are responsible for obtaining any necessary licenses or permits required in your jurisdiction.
AR-TAC shall not be liable for any legal violations resulting from your resale activities.

9. Termination

AR-TAC may suspend or terminate your dealer account at any time, with or without cause.
Upon termination, you must immediately cease using our wholesale pricing, branding, and any confidential information.

10. Limitation of Liability

To the maximum extent permitted by law, AR-TAC’s total liability shall not exceed the total amount paid by you for the specific order in dispute.

11. Governing Law

These Dealer Terms shall be governed by the laws of the State of California, United States.

12. Changes to These Terms

We reserve the right to update these Dealer Terms at any time. Continued use of your dealer account after changes constitutes acceptance of the new terms.
